End-User License Agreement (EULA) of Asterisk-connector Itgrix

This End-User License Agreement ("EULA") is a legal agreement between you and Aitigro LLP ("Aitigro" or "Licensor"). This EULA governs your acquisition and use of Aitigro's Itgrix software for integration of IP telephony and CRM systems (the "Software").

The Software includes, as applicable:

• Itgrix Connector for Bitrix24 and Asterisk;
• Itgrix Connector for amoCRM and Asterisk;
• Itgrix Connector for Kommo and Asterisk;
• Itgrix Authorizer for Bitrix24 Corporate Portal;
• Itgrix AsterPhone;
• and their components, updates and related Documentation.

Please read this EULA carefully before installing, activating or using the Software. By installing, activating or using the Software, you confirm your acceptance of this EULA and agree to be bound by its terms.

If you are entering into this EULA on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree to this EULA or do not have such authority, do not install or use the Software.

1. License Grant

Aitigro grants you a limited, non-exclusive, non-transferable and non-sublicensable license to install and use one licensed copy of the Software within its permitted functionality and in accordance with this EULA, the applicable license terms and the Documentation.

Unless otherwise expressly agreed by Aitigro, one license permits use of the Software in one authorized CRM portal or environment.

The Software is licensed as a single computer program. Its components may not be separated and used independently or on different CRM portals or environments.

You are responsible for ensuring that your CRM system, IP-telephony system, server, operating system and other required third-party software and infrastructure meet the technical requirements of the Software.

2. Trial Version

Aitigro may provide a Trial Version of the Software for a limited period and/or with limited functionality solely for evaluation purposes.

The Trial Version may not be resold, sublicensed, distributed or otherwise transferred to third parties and may not be used after the applicable trial period has expired.

3. Restrictions

You may not, except to the extent expressly permitted by applicable law:

• modify, adapt, translate or create derivative works of the Software;
• copy, reproduce, distribute, sell, resell, lease or sublicense the Software;
• decompile, disassemble or reverse engineer the Software;
• remove or alter copyright, trademark or other proprietary notices;
• circumvent or disable license activation or technical protection mechanisms;
• make the Software available to third parties for their independent use or benefit;
• use the Software to develop a competing product or service; or
• use the Software in violation of applicable law.

4. Intellectual Property and Ownership

The Software is licensed, not sold.

Aitigro and/or its licensors retain all right, title and interest in and to the Software, Documentation, updates, modifications and all related intellectual property rights.

No ownership rights are transferred to you under this EULA. All rights not expressly granted to you are reserved by Aitigro.

5. Third-Party and Open-Source Software

The Software may integrate with or depend on third-party software and services, including Asterisk, Bitrix24, amoCRM, Kommo, operating systems, hosting services and other third-party platforms.

Such third-party software and services are subject to their own terms and licenses. Aitigro is not responsible for the availability, functionality or changes to third-party products or services.

The Software may include or be distributed with open-source software components. Such components remain subject to their applicable open-source license terms.

In particular, the Software may include FFmpeg, a free and open-source multimedia framework. FFmpeg is licensed under the GNU Lesser General Public License (LGPL), subject to the applicable version and licensing terms of FFmpeg. FFmpeg is provided as a separate third-party component, and no separate license fee is charged by Aitigro for its use.

6. Updates and Technical Support

Updates, upgrades, patches and bug fixes provided by Aitigro are part of the Software and are subject to this EULA unless separate terms apply.

Aitigro provides technical support regarding installation, configuration and operation of the Software for supported configurations during the applicable license term, unless otherwise agreed.

Aitigro will use reasonable efforts to correct Software defects. However, no specific time for correction can be guaranteed because the Software interacts with third-party software, operating systems, hardware and services outside Aitigro's control.

Aitigro may suspend or refuse updates and technical support if you materially breach this EULA.

7. Warranty Disclaimer

To the maximum extent permitted by applicable law, the Software is provided "AS IS" and "AS AVAILABLE".

Aitigro does not warrant that the Software will be uninterrupted, error-free, compatible with all third-party systems or meet all of your requirements.

Aitigro's obligation to correct defects is limited to commercially reasonable efforts to provide a corrected version of the Software.

Nothing in this EULA excludes or limits any rights or warranties that cannot lawfully be excluded or limited.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Aitigro shall not be liable for any indirect, incidental, special or consequential damages, including loss of profits, revenue, business opportunities, data or savings, arising out of or in connection with the Software or this EULA.

Aitigro shall not be responsible for failures caused by third-party software, CRM or telephony systems, hosting providers, Internet services, hardware or other circumstances outside Aitigro's reasonable control.

To the maximum extent permitted by applicable law, Aitigro's total aggregate liability arising out of or relating to this EULA shall not exceed the amount paid by you for the Software during the twelve (12) months preceding the event giving rise to the claim.

9. Termination

This EULA becomes effective when you first install, activate or use the Software and remains effective until terminated.

You may terminate this EULA at any time by ceasing to use the Software and permanently deleting all copies of it.

Aitigro may terminate this EULA if you materially breach its terms. Where the breach is capable of remedy, Aitigro may provide reasonable notice and an opportunity to remedy the breach.

Upon termination, all licenses granted under this EULA immediately terminate. You must stop using the Software and remove all copies from your systems and authorized environments.

Termination does not entitle you to a refund of amounts already paid, except where required by applicable law.

10. Governing Law

This EULA and any dispute arising out of or in connection with it shall be governed by and construed in accordance with the laws of the Republic of Kazakhstan.

Any dispute arising out of or in connection with this EULA shall be subject to the jurisdiction of the competent courts of the Republic of Kazakhstan, unless otherwise agreed in writing or required by applicable law.

11. General

If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

This EULA, together with the applicable license terms, order, Documentation and any other documents expressly incorporated by reference, constitutes the entire agreement between you and Aitigro regarding the Software.

Aitigro may update this EULA from time to time. The updated version will apply to subsequent versions or continued use of the Software to the extent permitted by applicable law.

Nothing in this EULA excludes or limits rights that cannot lawfully be excluded or limited under applicable law.
